Navigating AI, risk, mentorship and purpose with clarity 

Earlier this summer we hosted our seventh Leathwaite NEDworking event which once again brought together our vibrant board community and provided another rare opportunity for candid, experience-led discussion on the evolving nature of board roles and the realities of life as a Non-Executive Director. 


Holly Addison, Partner and Head of the CEO and Board Practice at Leathwaite led the panel discussion; a key theme was the transition from executive to non-executive life - how to navigate the shift in mindset, avoid being pigeon-holed by a single functional background, and demonstrate relevance across sectors.  


Our speakers shared valuable insights into the differences between listed and private boards, as well as the increasing demand for Non-Executives in government and public sector roles. 


The conversation also explored how legal expertise can bring unique value to the boardroom, especially in chairing risk committees amid rising cyber security threats.  


Another important topic was the disruption caused by AI, the threat and opportunity it brings in equal measure and how the practical application of emerging technologies in leading transformation was front of mind for so many boards.  


The panel highlighted the need for NEDs to combine deep commercial thinking with human-centred decision-making, ensuring that innovation and automation do not come at the expense of purpose, culture, and people. 


Our speakers spoke openly and reflectively about the personal factors that have guided their decisions in choosing which board roles to take on, emphasising the importance of values alignment, board dynamics, and where they felt they could genuinely add value.

  • Start early – some panellists began planning their NED portfolio years before leaving executive life.


  • Think about where you can add value, and focus your networking on sectors you’re genuinely interested in.


  • Portfolio life offers purpose, variety, and time to reflect – but diary management and over-committing can be a real challenge.

  • The role is shifting beyond governance and compliance to include deeper focus on strategy, growth, and culture.


  • NEDs must help steer boards back to the core of good business – putting people, purpose, and commercial outcomes at the centre.


  • Stakeholder breadth is increasing – it’s no longer just about shareholders, but about broader societal and organisational impact.

  • Stay vigilant to signs it’s time to leave – whether it's misalignment with governance practices, cultural disconnects, or simply not being heard.


  • The concept of joining a board to try to change it from the inside is unrealistic.


  • Stay true to your principles and know when to speak up. You only have your reputation.


  • If you feel uncomfortable with how a board is functioning, it’s likely time to move on.

  • The Chair’s role is about building trust, managing dynamics (including with committee chairs), and ensuring the board operates as a cohesive team.


  • Informal time with board members and executives can outweigh formal meetings – and are often where the most impact is made.


  • Consider a coach to help provide perspective and gather 360 feedback to help you learn.

  • Strong boards foster openness, mutual respect, and continuous development, including regular feedback loops.


  • “Social contracts” between committee chairs and the Chair help clarify roles and boundaries.


  • Establish a Board Charter – outlining the way you will work with one another and the values you will embrace.

  • Treat the journey like matchmaking – focus on fit, chemistry, and mutual value.


  • Avoid “carpet bombing” your network. Be realistic about what you can genuinely bring to the boardroom table.


  • Be strategic and deliberate, and dedicate consistent time to relationship-building.



What translates from executive to NED life

What Translates from Executive to NED Life

  • Committee exposure, crisis management, and experience in risk, cyber, people and pensions all translate well – if you learn to articulate them.


  • Executive skills are valuable but must be reframed for a governance and oversight role.


  • As an Executive leader, if you do the right things (people, culture, strategy, growth) the profits and dividends will come – the same is true as a NED.

  • It is critical to have targeted and planned development of internal board succession.


  • Succession planning should be structured, proactive and regularly discussed – to avoid fear or misinterpretation.


  • NEDs can play a vital role in supporting CEOs and helping to manage underperforming board members constructively.

  • “Ask” for feedback regularly – from the Chair, fellow board members, and Company Secretary.


  • Understand the board culture before joining – and trust your instincts on fit.


  • Private equity boards can offer valuable experience – often with clear timelines and fewer reporting cycles.


  • Hire a PA to manage a busy NED portfolio – it’s a game-changer.


  • Let others speak first – impactful NEDs listen more than they talk.


  • Embrace purpose – panelists were driven to work with organisations making a meaningful difference.
